Supplier Onboarding Terms

These Supplier Onboarding Terms set out the registration, verification, documentation, product approval, payout setup, and performance requirements that apply before a supplier may sell on the TOSHZA marketplace. They apply in addition to the Supplier Agreement, Terms and Conditions, and related platform policies.

1. Introduction and Binding Effect

These Supplier Onboarding Terms ("Onboarding Terms") govern the process by which a business or trader applies to sell goods on the marketplace operated by TOSHZA (Pty) Ltd, Registration Number 2025/929932/07, Florida Hills, Roodepoort, Gauteng, South Africa ("TOSHZA", "we", "us", or "our").

By submitting a supplier registration, uploading verification documents, listing products for review, or otherwise commencing onboarding, you ("Supplier", "you", or "your") agree to these Onboarding Terms and acknowledge that selling privileges remain subject to TOSHZA's approval.

These Onboarding Terms form part of the TOSHZA Legal Documents Package and must be read with the Supplier Agreement, Terms and Conditions, Privacy Policy, POPIA Compliance Notice, and Acceptable Use Policy published at https://toshza.co.za.

2. Eligibility to Apply

To apply as a Supplier on TOSHZA, you must:

  • Be a lawfully constituted business or a natural person lawfully entitled to trade in South Africa.
  • Have authority to bind the business entity you represent.
  • Provide true, complete, and current information throughout onboarding.
  • Be able to fulfil orders to the standards required by TOSHZA and applicable law.
  • Not be prohibited from trading with TOSHZA under applicable sanctions, court orders, or prior platform bans.

TOSHZA may refuse any application in its reasonable discretion, including where verification fails, risk indicators are present, or the proposed catalogue is unsuitable for the platform.

3. Registration Requirements

During registration, you must create a supplier account and submit the business and contact information requested by the platform, which may include legal name, trading name, registration number, tax details, physical address, and authorised representative details.

You must maintain at least one monitored contact channel for order and compliance communications. Supplier registration on TOSHZA requires a personal @gmail.com email address for the account owner or authorised representative, so that operational notices, order alerts, and compliance correspondence can be managed reliably.

You are responsible for safeguarding login credentials and for all activity under your supplier account, unless you demonstrate unauthorised access despite reasonable security practices and prompt notification to support@toshza.co.za.

4. Verification Process

All supplier applications are subject to verification before selling privileges are granted. Verification may include automated checks, manual review by TOSHZA administrators, and requests for additional information.

TOSHZA may verify:

  • Business registration and ownership details.
  • Tax status and banking details.
  • Identity of owners or authorised representatives.
  • Business address and operational capacity.
  • Catalogue suitability and compliance risk.

You authorise TOSHZA and its operators to process the personal and business information you submit for onboarding, verification, fraud prevention, and ongoing compliance, in accordance with the Privacy Policy and POPIA Compliance Notice.

Incomplete, inconsistent, or unverifiable applications may be delayed, returned for correction, or rejected.

5. Required Onboarding Documents

Unless TOSHZA expressly waives or varies a requirement for a particular applicant category, you must upload clear, legible copies of the following documents as part of onboarding:

  • CIPC_REGISTRATION — Companies and Intellectual Property Commission registration documentation (or equivalent proof of lawful business registration).
  • TAX_CLEARANCE — valid tax clearance or equivalent SARS-related confirmation acceptable to TOSHZA.
  • BANK_CONFIRMATION_LETTER — bank confirmation letter or official bank document verifying the account nominated for payouts.
  • OWNER_SA_ID or OWNER_PASSPORT — South African identity document or passport of the owner or authorised representative (one of these identity documents is required).
  • PROOF_OF_BUSINESS_ADDRESS — recent proof of business address in a form reasonably acceptable to TOSHZA.

TOSHZA may request certified copies, updated documents, or additional evidence where risk, regulatory, or quality considerations so require. Documents must not be altered, forged, or misleading.

6. Pending Status Before Selling

Until TOSHZA has approved your supplier account and the relevant products, your account and listings remain in a pending state. While pending:

  • You may not sell products to customers on TOSHZA.
  • Your listings will not be available for purchase, or will be hidden from the live catalogue, as determined by platform controls.
  • Payouts for marketplace sales will not be activated.

Submitting an application does not create any right to be approved, any guarantee of catalogue placement, or any entitlement to marketing exposure.

7. Product Approval Statuses

Each product submitted for sale is subject to review and will be assigned one of the following statuses:

  • PENDING — the product is awaiting review and must not be sold until approved.
  • APPROVED — the product may be offered for sale subject to stock, pricing rules, and ongoing compliance.
  • REJECTED — the product may not be sold; TOSHZA may provide a reason where practical, but is not obliged to disclose sensitive risk or enforcement details.

TOSHZA may approve some products and reject others within the same supplier account. Approval of a product may be withdrawn if later information shows non-compliance, customer harm risk, or policy breach.

8. Administrative Approve, Reject, and Suspend Powers

TOSHZA administrators may, acting reasonably and in accordance with platform policies:

  • Approve a supplier application or individual product.
  • Reject a supplier application or individual product.
  • Suspend a supplier account, storefront, product, or payout capability pending investigation or remediation.
  • Reinstate privileges where concerns have been adequately resolved.

Suspension or rejection may follow incomplete verification, document irregularities, prohibited catalogue items, poor performance, customer complaints, fraud indicators, or breach of these Onboarding Terms or related agreements.

TOSHZA may take immediate action without prior notice where necessary to protect customers, drivers, payment integrity, or the platform.

9. Payout and Bank Setup

To receive marketplace payouts, you must successfully complete bank setup using an account in the name of the verified supplier (or another account expressly accepted by TOSHZA in writing).

You must ensure that:

  • The BANK_CONFIRMATION_LETTER matches the nominated payout account.
  • Account details remain accurate and up to date.
  • You are the lawful holder or authorised operator of the nominated account.

Payout timing, holds, commissions, fees, chargebacks, and reconciliations are governed by the Supplier Agreement and platform commercial terms. Onboarding completion does not accelerate payout beyond those terms.

TOSHZA may delay, withhold, or reverse payouts where required for fraud prevention, dispute handling, legal compliance, or remediation of overpayments, subject to applicable law.

10. Performance Expectations

Approved Suppliers are expected to meet ongoing performance standards, including:

  • Accurate catalogue information and timely stock updates.
  • Prompt acceptance and fulfilment of confirmed orders.
  • Secure packaging and professional handover to logistics partners or customers.
  • Responsive communication with customers and TOSHZA support.
  • Low rates of cancellations, avoidable refunds, and quality complaints.

Persistent underperformance may result in warnings, reduced visibility, product suspension, account suspension, or termination under the Supplier Agreement.

11. Legal and Platform Compliance

Throughout onboarding and after approval, you must comply with:

  • All applicable South African laws, including consumer-protection, product-safety, advertising, tax, and data-protection laws.
  • POPIA when handling any customer or platform personal information you receive.
  • TOSHZA policies, including the Acceptable Use Policy and Community Guidelines.
  • Category-specific rules for regulated, restricted, or age-sensitive products.

You must not list counterfeit, stolen, hazardous (unless expressly authorised), or otherwise prohibited goods. You remain solely responsible for the legality and quality of products you offer.

12. Accuracy and Updates of Information

You warrant that all information and documents submitted during onboarding are true, accurate, and not misleading. You must promptly update TOSHZA if any material information changes, including ownership, address, tax status, bank details, contact channels, or regulatory standing.

Failure to update material information may result in suspension of selling or payout privileges until re-verification is completed.

13. Personal Information and Documents

Identity documents, bank letters, and related onboarding records contain personal and business information. TOSHZA processes this information as described in the Privacy Policy and POPIA Compliance Notice for verification, compliance, fraud prevention, and record-keeping.

Data subject requests relating to personal information may be submitted via https://toshza.co.za/data-request or privacy@toshza.co.za. Business records may be retained for legal, tax, and audit purposes even after an application is rejected or an account is closed.

14. No Guarantee of Approval or Volume

Nothing in these Onboarding Terms guarantees that your application will be approved, that approved products will achieve any particular sales volume, or that TOSHZA will provide featured placement, advertising, or preferential ranking.

Marketplace demand, search ranking, and promotional programmes remain subject to platform rules and TOSHZA's commercial discretion.

15. Withdrawal, Rejection, and Termination

You may withdraw your onboarding application at any time by notifying support@toshza.co.za, subject to any outstanding obligations arising from information already submitted or interim platform use.

TOSHZA may reject or terminate onboarding, or suspend or terminate an approved supplier relationship, where these Onboarding Terms, the Supplier Agreement, or applicable law so allow.

Provisions that by nature should survive (including those relating to liability for false information, confidentiality, data retention, and accrued payment adjustments) will survive rejection, withdrawal, or termination.

16. Changes to Onboarding Requirements

TOSHZA may update these Onboarding Terms and the document or verification requirements from time to time to reflect legal, banking, security, or operational needs. Updated terms will be published at https://toshza.co.za.

If you continue with onboarding or continue selling after an update takes effect, the updated Onboarding Terms apply, except where a separate written agreement provides otherwise or South African law requires a different process.

17. Governing Law

These Onboarding Terms are governed by the laws of the Republic of South Africa. Subject to any dispute-resolution process in the Supplier Agreement or Terms and Conditions, the courts of South Africa have jurisdiction over disputes arising from these Onboarding Terms.
